Terms of Service

1. Acceptance of Terms

By accessing or using the TerraWealth mobile application, website at terrawealth.app, or any related services (collectively, the "Service"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a binding agreement between you and Mobic Labs (Pvt) Ltd. ("Company", "we", "us", or "our").

2. Service Description

TerraWealth is a read-only portfolio tracking and analytics platform that allows users to:

• Manually input and track multi-asset portfolios (land, fixed deposits, stocks, cryptocurrency, and other assets)
• View real-time market data fetched from publicly available APIs
• Access AI-generated portfolio analytics, projections, and scenario simulations via the TerraAI engine
• Monitor asset allocation, net worth calculations, and portfolio performance over time

TerraWealth does not: execute trades, initiate transfers, provide brokerage services, manage funds, or access any financial account on your behalf. We are purely an analytics and intelligence layer.

4. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts in your jurisdiction
• Not be a person barred from using financial software under the laws of Sri Lanka or any other applicable jurisdiction

By using the Service, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not use the Service.

5. Your Account

To access certain features of the Service you will need to create a TerraWealth account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and not share your account credentials with others
• Notify us immediately at security@terrawealth.app if you suspect any unauthorised access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that we reasonably believe are being used fraudulently, in violation of these Terms, or in a manner harmful to other users or the Service.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any local, national, or international law or regulation
• Attempt to reverse-engineer, decompile, disassemble, or extract source code from any part of the Service
• Use automated tools, bots, scrapers, or scripts to access or collect data from the Service without our express written permission
• Transmit malware, viruses, or any code of a destructive nature
• Interfere with or disrupt the integrity or performance of the Service or its servers and networks
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Service to engage in market manipulation, money laundering, or any other financial crime

7. Intellectual Property

The Service and all its original content, features, functionality, branding, logos, TerraAI algorithms, and software are owned by Mobic Labs (Pvt) Ltd. and are protected by Sri Lankan and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use, subject to these Terms.

Your data: You retain all ownership rights to the portfolio data and content you enter into TerraWealth. By uploading or entering data, you grant us a limited licence to process and display it solely for the purpose of providing the Service to you.

8. Third-Party Services

The Service integrates with third-party data providers (such as public market data APIs) and may contain links to third-party websites. We do not control, endorse, or assume responsibility for any third-party content, products, or services. Your interactions with third parties are governed solely by their own terms and privacy policies.

Market data provided through third-party APIs may be delayed, inaccurate, or incomplete. We make no warranty as to the accuracy, timeliness, or completeness of any data sourced from third parties.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, error-free, or free of viruses or harmful components
• That the results obtained from use of the Service will be accurate, reliable, or complete
• That any AI-generated projections, forecasts, or scenario outputs will be correct or reflect actual future events

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOBIC LABS (PVT) LTD. AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any financial losses arising from investment decisions made in reliance on TerraAI outputs or any content within the Service
• Any damages exceeding the amount you have paid us (if any) in the twelve months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Mobic Labs (Pvt) Ltd. and its directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

You may terminate your account at any time by contacting us at hello@terrawealth.app. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including IP rights, disclaimers, limitation of liability, and governing law) shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify active users by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
